Corporate Legal Counsel, Commercial Transactions 

 

This position can be based in a Skyworks office in one of the following locations: Irvine, California; Greensboro, North Carolina; or Texas 

 

Skyworks is seeking a talented lawyer with commercial and transactional experience to join the Skyworks legal team. This position will report to the Senior Corporate Legal Counsel, Business and Legal Affairs. The successful candidate will be able to work collaboratively as part of a small, fast-paced legal team, effectively managing multiple projects and priorities simultaneously.

Responsibilities

  • Serve as a primary commercial attorney for assigned business functions, independently managing a broad range of domestic and international commercial and technology transactions from initial review through negotiation, execution, and post-signing support for Skyworks’ sourcing, engineering, BU, marketing, sales, and/or global business operations
    • Draft, review, and negotiate a broad range of commercial and technology agreements, including customer and sales agreements; supply, procurement, manufacturing, and services agreements; joint development and engineering agreements; software, SaaS, cloud, data, and evaluation licenses; IT and professional-services agreements; nondisclosure agreements; and other agreements supporting Skyworks’ global operations
    • Develop practical negotiation strategies, identify and clearly communicate material legal and business risks, make recommendations consistent with company risk tolerances, and escalate significant issues appropriately
    • Coordinate with local counsel and Skyworks legal colleagues on cross-border transactions, local-law requirements, and the consistent application of company contracting policies and standards
    • Collaborate with legal colleagues and business stakeholders on negotiation of agreements
    • Advise senior management on commercial and transactional matters, providing proactive strategic advice and counsel to internal teams regarding business and legal issues and risks
    • Help resolve business disputes and address other inquires (such as audits) arising out of transactional or commercial matters, working with legal colleagues and outside counsel as needed
    • Draft and deliver training materials and presentations related to contractual and commercial requirements
    • Support the development and continuous improvement of contracting processes, templates, clause libraries, negotiation playbooks, contract-lifecycle-management systems, and responsible uses of AI-enabled legal tools, with the goals of improving consistency, cycle time, compliance, and visibility
    • Assist with M&A and integration efforts where needed
    • Perform such other tasks as necessary, or as assigned by legal department management
  • Ability to travel domestically and internationally if needed to meet with legal team members and internal clients and to lead negotiations

Required Experience and Skills

  • Minimum of 15 years' overall job experience with 8 years’ experience handling commercial legal matters and negotiating contracts
  • Substantial experience independently drafting and negotiating complex commercial agreements, including technology, sales, procurement, services, licensing, and nondisclosure agreements   
  • Experience advising and supporting corporate clients with complex transactional or commercial contracting, whether at a law firm or in-house
  • Excellent interpersonal and communication skills, including the ability to collaborate and work well with people at all levels of the organization
  • Strong work ethic, attention to detail, and ability to handle and advance multiple projects in a multi-stakeholder environment
  • In-house experience at a global, public semiconductor or technology company is a plus
  • Experience responding to customer and supplier audits arising from commercial relationships is a plus
  • Comfort using modern legal and business technology, including Microsoft 365 and contract-lifecycle-management, collaboration, and AI-enabled tools
  • Ability to learn complex technologies and business models quickly and translate legal analysis into concise, practical recommendations
  • Proactive, solutions-oriented approach, with demonstrated ability to improve processes and operate effectively in a fast-paced, multi-stakeholder environment

 Must Have Education and Licenses

  • JD from an accredited U.S. law school
  • Active membership in good standing in at least one U.S. state bar, with eligibility to practice as registered in-house counsel in the applicable work location if required

Desired Experience and Skills

The typical base pay range for this role across the U.S. is currently USD $143,000 - $286,400 per year. Starting base pay will depend on relevant experience and skills, training and education, business needs, market demands, the ultimate job duties and requirements, and work location. Skyworks has different base pay ranges for different work locations in the U.S. Benefits include access to healthcare benefits (including a premium-free medical plan option), a 401(k) plan and company match, an employee stock purchase plan, paid time off (including vacation, sick/wellness, parental leave), among others.
